Terms of Service

Welcome to Ritto Mail. These Terms of Service (“Terms”) govern your access to and use of Ritto Mail, the email sending platform operated by Ritto LLC, 412 W 7th St STE 1072, Clovis, NM 88101, United States (“Ritto”, “we”, “us”), including the website ritto.email, the dashboard at app.ritto.email, the API at api.ritto.email, the documentation at docs.ritto.email, and the SMTP and MCP interfaces (together, the “Service”).
By creating an account, subscribing to a plan or using the Service, you agree to these Terms, to our Privacy Policy and to our Refund Policy. If you do not agree, do not use the Service. Questions: help@ritto.software.
1. Acceptance and eligibility
You must have the legal capacity to enter into a contract. If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind it, and “you” refers to that organization.
You confirm that the information you provide (including name, company, billing country and payment details) is true, complete and kept up to date. The Service is intended for businesses and professionals; it is not directed to individuals under 18.
2. Account and security
You are responsible for all activity under your account, including activity performed with your credentials. In particular:
- API keys. Ritto Mail API keys start with
rm_. Treat them as secrets: never expose them in client-side code, public repositories, logs or screenshots, and give each key only the permissions it needs. - MCP and SMTP. Credentials used to connect AI agents through MCP (Model Context Protocol) or to send through SMTP carry the same sending power as an API key. Actions taken by an agent or application you connect are your actions.
- Sign-in. Protect access to the dashboard. We recommend passkeys or other strong authentication and limiting team member roles.
- Incidents. Notify us promptly at help@ritto.software of any unauthorized use or suspected leak. We may revoke or rotate credentials that appear compromised, and pause sending to contain abuse.
3. Plans, billing and taxes
- Free trial. New accounts may use the “Free trial” plan for 3 days, with no payment method required. The trial is limited to 1,000 emails (at most 100 per hour) sent from 1 verified domain, and 500 contacts. One trial per company. We may refuse, limit or end a trial in case of abuse or a breach of these Terms, including the Acceptable Use Policy. When the trial ends, sending stops until you subscribe to a paid plan; nothing is charged unless you subscribe.
- Paid subscription required. Apart from the free trial, Ritto Mail has no free plan. The Service is offered through a monthly subscription; without an active subscription or trial, emails are not sent.
- Plans. We offer Hobby, Starter and Pro plans, and Enterprise plans under a separate agreement. Each plan has its own limits (for example, monthly email volume, domains, contacts, team members and log retention), as shown on ritto.email and in the dashboard at the time of purchase.
- Overage. On plans that include overage (currently Pro), emails sent beyond the monthly allowance are charged per block of 1,000 emails at the plan’s published rate. You can control overage in the dashboard. On plans without overage, emails beyond the limit are queued until the limit resets, as described on the pricing page.
- Payments. Payments are processed by Stripe. We accept card payments and, in Brazil, Pix Automático. Subscriptions renew automatically each month until cancelled. You authorize us and Stripe to charge the payment method on file for the subscription and any overage.
- Currency and billing country. The billing currency (USD, EUR or BRL) is determined by your billing country. Ritto may review, suspend or ask for additional information about accounts whose billing country does not match the payment method used.
- International purchase. Ritto LLC is a US company. Your bank or card issuer may treat the payment as an international purchase and charge fees or taxes on its own account (for example, IOF in Brazil). Such charges are not set or collected by Ritto.
- Taxes. Prices may not include taxes. You are responsible for taxes applicable to your purchase, except taxes on Ritto’s income.
- Price changes. We may change prices or plan limits with reasonable prior notice. Changes apply from the next billing cycle.
- Non-payment. If a payment fails, we may retry the charge and pause sending or suspend the account until the balance is settled.
- Cancellation and refunds. You can cancel at any time; refunds are governed by our Refund Policy.
4. Acceptable Use Policy for email
Email reputation is shared. To protect your recipients, other customers and the platform, you agree to the following rules for every email sent through the Service, by API, SMTP, MCP or the dashboard.
Consent and recipients
- Send only to recipients who gave you consent or with whom you have a legitimate, existing relationship that permits the message under applicable law (for example, transactional messages about an account or purchase).
- Do not use purchased, rented, shared, appended or scraped lists, or addresses harvested from websites or public sources.
- Keep records of how and when consent was obtained, and stop sending to anyone who withdraws it.
Prohibited content and practices
- Spam or unsolicited bulk email, including “cold” mass prospecting to people who never asked to hear from you.
- Phishing, credential harvesting, malware, ransomware or links to malicious content.
- Illegal content or content that promotes illegal activity, fraud, deceptive offers, pyramid schemes, or that infringes intellectual property, privacy or other rights.
- Forged or misleading sender information, headers or subject lines, or sending from domains you are not authorized to use.
- Content that is sexually exploitative of minors, hateful, harassing or that incites violence.
- Attempts to circumvent limits, suppression lists, rate limits or our abuse controls, including creating multiple accounts to do so.
Required elements
- Sender identification. Messages must clearly identify you as the sender and, for marketing messages, include a valid physical postal address where required by law.
- Working unsubscribe. Marketing and bulk messages must include a clear, working way to opt out, and opt-outs must be honored promptly. For broadcasts, the Service adds
List-Unsubscribeheaders with one-click unsubscribe; you must not remove or disable them.
Applicable laws
You are responsible for complying with all laws that apply to your messages and recipients, including, as applicable, Brazil’s General Data Protection Law (LGPD, Law 13,709/2018), the US CAN-SPAM Act, the EU GDPR and ePrivacy rules, the UK GDPR and PECR, and Canada’s Anti-Spam Legislation (CASL).
5. Deliverability, bounces and complaints
- Thresholds. Mailbox providers and our sending infrastructure tolerate only low bounce and complaint rates. As a reference, a bounce rate above 4% or a spam complaint rate above 0.08% is considered excessive. These figures are indicators and may change as provider requirements change.
- Our actions. Ritto may, at its discretion and without prior notice when needed to protect the platform, pause sending, reduce sending limits, suspend or terminate accounts that exceed acceptable rates, that are the subject of abuse reports, or whose activity otherwise puts the reputation of the platform, its IP addresses or domains at risk.
- Automatic suppression. Addresses that hard bounce, complain or unsubscribe are added automatically to your suppression list, and further sends to them are blocked. You must not try to work around suppression.
- No refund. Suspension or termination resulting from a violation of these Terms or of this Acceptable Use Policy does not entitle you to a refund or credit.
- No guarantee of inbox placement. Delivery and inbox placement depend on recipients’ providers and on your content, list and reputation. We do not guarantee that any email will be delivered, opened or placed in the inbox.
6. Sending domains and authentication
You may only send from domains you own or are authorized to use. You are responsible for publishing and maintaining the DNS records we indicate (such as DKIM, SPF and the return-path or MAIL FROM records) and an appropriate DMARC policy, and for the consequences of changing or removing them. We may refuse or disable a domain that cannot be verified or is used in violation of these Terms.
7. Customer content and data
- Ownership. You keep all rights to the content you send (messages, templates, attachments) and to the data you upload, such as contacts, audiences and properties (“Customer Data”).
- License to us. You grant Ritto a limited, non-exclusive license to host, store, process, transmit and display Customer Data only as needed to provide, secure and support the Service and to comply with the law.
- Your responsibility. You are responsible for the content, accuracy and lawfulness of Customer Data and for having the rights and legal basis to use it.
- Backups. We keep encrypted backups for disaster recovery, but the Service is not an archive. Keep your own copies of anything you need.
8. Privacy and data protection
Our Privacy Policy explains how we handle personal data. For your account and billing data, Ritto acts as controller. For the contacts and email content you send through the Service, Ritto acts as processor (operator under the LGPD) on your behalf and following your instructions; you are the controller and are responsible for the legal basis, for notices to data subjects and for responding to their requests. A Data Processing Agreement (DPA) is available on request at help@ritto.software.
9. Availability and support
- Availability. We work to keep the Service available, but scheduled or emergency maintenance and events outside our control may cause interruptions. Standard plans do not include a service level agreement (SLA).
- Enterprise. SLAs, dedicated support, custom retention and other commitments are available only under a signed Enterprise agreement.
- Support. Support is provided by email at help@ritto.software or admin@ritto.email, within reasonable response times.
- Beta features. Features marked as beta or preview may change, have limits or be discontinued without notice.
- Changes to the API. We may evolve the API and its compatibility with third-party APIs; we will try to give reasonable notice of breaking changes.
10. Intellectual property
Ritto and its licensors own all rights in the Service, the software, the documentation and the Ritto and Ritto Mail brands. These Terms do not transfer any of those rights to you, except the limited right to use the Service while your subscription is active. You may not copy, resell, sublicense or reverse engineer the Service, except where the law expressly allows it. If you send us suggestions or feedback, we may use them freely without obligation to you.
11. Disclaimers and limitation of liability
- The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
- To the maximum extent permitted by law, Ritto is not liable for lost profits, lost revenue, loss of data, or indirect, special, incidental or consequential damages, including damages arising from emails not delivered, delayed or filtered by recipients’ providers.
- Ritto’s total liability for all claims related to the Service is limited to the amount you paid Ritto in the 12 months before the event that gave rise to the liability.
- Nothing in these Terms limits liability that cannot be limited under applicable law, including rights that consumers have under mandatory law.
12. Indemnification
You agree to defend, indemnify and hold Ritto harmless from claims, losses, fines and expenses (including reasonable legal fees) arising from (i) your use of the Service in violation of these Terms or of the Acceptable Use Policy; (ii) your content or Customer Data, including the lack of consent or legal basis to send messages; or (iii) your violation of laws or of third-party rights.
13. Suspension and termination
- We may suspend or terminate your access, in whole or in part, for violation of these Terms, risk to the platform or to third parties, non-payment, legal requirement, or signs of fraud or abuse. Where reasonable, we will give notice and an opportunity to fix the issue; for serious abuse or risk to deliverability, we may act immediately.
- You may cancel your subscription at any time in the dashboard. Access continues until the end of the paid cycle.
- After termination, sending stops and we may delete Customer Data after a limited period, except data we must keep by law or to prevent abuse (such as suppression and billing records). Export what you need before cancelling.
14. Changes to the Service and these Terms
We may update the Service and these Terms from time to time. We will communicate material changes by reasonable means, such as email or a notice in the dashboard, before they take effect. Continued use after the effective date means you accept the updated Terms. If you do not agree, you may cancel your subscription.
15. Governing law and venue
These Terms are governed by the laws of Brazil. The courts of São Paulo, State of São Paulo, Brazil, have exclusive jurisdiction to resolve disputes relating to the Service, unless otherwise required by law.
16. General provisions
If any provision is held invalid, the rest remains in effect. Failure to enforce a right is not a waiver. You may not assign these Terms without Ritto’s prior written consent; we may assign them in connection with a merger, acquisition or reorganization. These Terms, together with the Privacy Policy, the Refund Policy and any Enterprise agreement, are the entire agreement between you and Ritto about the Service. If there is a conflict between language versions, the Portuguese version prevails for customers in Brazil and the English version prevails for all other customers.
